These Terms of Service ("Terms") are an agreement between you and Blue Cielo, Inc. ("Blue Cielo," "we," "us," or "our") for use of PolyAccounts (polyaccounts.com and related apps — the "Services"). By creating an account or using the Services, you agree to these Terms.
1. Eligibility and business use
You must be at least 18 years old and able to form a binding contract. The Services are offered for business and professional bookkeeping use. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. The Services (early access)
PolyAccounts provides multi-tenant double-entry accounting features such as live drillable reports, bank imports, and budgets. Feature availability may vary during early access.
Modest claims only. Marketing and these Terms do not guarantee statutory tax filing, CFDI stamping, "bank-grade" or SOC 2 controls, MFA, or fitness for any particular regulated engagement. Public feature framing: GL, live reports, staged imports, budgets/forecasts, law-firm billing/trust features, multi-entity via account tags, client portal, en/es/fr. No CFDI/statutory filing, SOC 2, MFA, or bank-grade claims.
Demo or sample tenants are for illustration only and are not authorization to run production statutory books or real client financials without hardening and Product accept.
3. Accounts and security
You are responsible for keeping login credentials confidential and for activity under your accounts; choosing appropriate user roles; notifying us promptly at support@polyaccounts.com if you suspect unauthorized access. MFA is not currently offered in-product.
4. Your data; our license
You own your books, records, and content you submit ("Customer Data"). You grant Blue Cielo a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Services, and as otherwise described in the Privacy Policy. We do not claim ownership of your ledgers.
5. Your compliance responsibility
You are solely responsible for the accuracy of data you enter; whether your use meets accounting, tax, trust-accounting, professional, and other legal requirements that apply to you; obtaining rights and consents needed to upload data; retaining official books as required by law. Blue Cielo does not provide CPA, tax, legal, or other professional advice. You must review results before relying on them for filings, audits, or client work.
6. Subscriptions and billing
During early access, access may be offered at $0 (complimentary) as displayed in the product. When paid plans are enabled, fees will be as displayed at checkout or in the product. By subscribing you authorize the payment provider (e.g. Stripe, when live) to charge your payment method.
7. Acceptable use
You will not use the Services for unlawful purposes; attempt unauthorized access to other tenants; interfere with or disrupt the Services; upload malware; reverse engineer except where not allowed to restrict; resell except under written agreement; misrepresent reports or automated output as certified professional advice. We may suspend or terminate for violations, risk, or non-payment.
8. Service changes; early access
We may change, suspend, or discontinue features, including during early access, with reasonable notice when practical.
9. Termination
You may stop using the Services and close your account as supported in-product or by contacting support@polyaccounts.com. Export data you need before closing.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUE CIELO DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUE CIELO AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD OR (B) USD $100 if you are on complimentary early access.
12. Governing law
These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict-of-law rules. Courts in Nevada have exclusive jurisdiction, except where applicable law gives you mandatory rights to local courts.
